Nelson Hardiman represented a multi-physician practice in its affiliation with a hospital system foundation model.  This transaction included an asset sale and a new series of management services and employment agreements.  There was additional complexity arising from existing and future non-solicitation clauses arising from the fact the physicians were active with the hospital system’s chief competitor.  Nelson Hardiman successfully negotiated a transition plan allowing for a smooth affiliation without competitive pressures on the physicians from either the prior hospital system or the newly-affiliated hospital system.
