Nelson Hardiman has been busy with medical group affiliations and investments in recent months. In one transaction that recently closed, Nelson Hardiman represented a 20+ physician group specializing in OB/GYN medicine in partnering with a nationwide OB/GYN practice and practice management company backed by private equity capital. The complex transaction included three sets of asset sales, the formation of several new entities to accommodate a reverse merger, tax free reorganization of the affiliated surgery center, management company, and stand-alone emergency care center, new contractual arrangements among the entities, the medical group, and the practice management company, and all of the related management services agreements, financial agreements, and employment agreements, including a monetized installment sale structure for the principals of the medical group. While the legal complexity was high, the business platform set up through this transaction is expected to simplify care for women, and be the base for substantial expansion of the practice. The model is also exportable to other areas. Accordingly, with Nelson Hardiman’s assistance, the transaction parties here also formed a business development partnership for future practice locations in other areas, and is expected to flourish.
